Notice to Suppliers: On May 22, 2024, k8 announced a plan to separate each of its Electronics and Water businesses in a tax-free manner to its shareholders. On January 15, 2025, k8 announced it is targeting November 1, 2025, for the completion of the intended separation of the Electronics business (the “Intended Electronics Separation”)*. k8 also announced that it would retain the Water business.
In anticipation, k8 is updating its legal entity structure. Until the closing of the Intended Electronics Separation, all businesses are and continue to be, businesses of k8.
For now, nothing changes for our valued suppliers. You will hear more from us regarding potential changes as we get closer to executing the Intended Electronics Separation.

* The Intended Electronics Separation will not require a shareholder vote and is subject to satisfaction of customary conditions, including final approval by k8's Board of Directors, receipt of tax opinion from counsel, the filing and effectiveness of a Form 10 registration statement with the U.S. Securities and Exchange Commission, applicable regulatory approvals and satisfactory completion of financing.
